The labor consequence for the misuse of social networks is clear and evident. Every day we see more examples of employers who, when they detect a "questionable post" in a social platform, they apply their sanctioning authority. Sometimes without even carrying out a sanctioning procedure adjusted to current regulations.

Is it possible to punish a worker for a "questionable posts" in their personal social networks? Yes.

Can the worker be sanctioned if he/she makes a “post” in his free time? Yes.

August 2018. Teleworking Guidelines for private companies

The advance of digital technologies has allowed substantial changes in many legal systems; Costa Rica is not the exception. Within this context comes the figure of "Teleworking", which seeks to maximize organizational development, increase the productivity of the company and its employees, reduce operating costs, improve the quality of services provided, promote urban mobility and environmental protection.

Therefore, the Ministry of Labor and Social Security (MTSS), in conjunction with the International Center for the Development of Teleworking (CIDTT), announced on July 30th the "Guidelines for the Implementation of Teleworking for Companies".

June 2018. Regulatory Training on the Protection of Personal Data

Last May 16th, our Firm Soley, Saborío & Asociados (SS & A) and the Infocommunications and Technology Chamber (INFOCOM) held the first training session on the best practices in protecting personal data.

The activity was aimed at Managers, CIOs, responsible for Information Technology, telecommunications companies and information technologies linked to INFOCOM. The training was conducted by the Attorney María Gabriela Arroyo (Director of the area of Intellectual Property and Personal Data of SS&A) and the Attorney Erick Jiménez (member of the TMT team of the same Firm), together with the professionals of the Data Protection Agency of the inhabitants (PRODHAB) and the Telecommunications Superintendence (SUTEL).

December 2017. Re-inscription of dissolved companies due to non payment of corporate tax

Please be informed that it was recently approved an Act by which it was reformed Corporate Tax Law - Law N°9428- which is in force since last September 1st. This Act will allow the re-inscription of all of the companies which have been dissolved due to non-payment of 3 or more periods of corporate taxes during 2012-2015.

However, this re-inscription of dissolved companies is not mandatory but optional. That is, the owners of each dissolved company shall decide if they want to liquidate or to “relive” their company and in this last case, the company will keep its registered assets (vehicles and real estate), avoiding a liquidation process and transfer of such assets to third parties.

Thus, the Corporation owners who want to request re-recording of their dissolved companies before the National Registry shall proceed as follows:

  • To pay the amount due for corporate tax, before December 15th 2017.
  • To file before the National Registry a formal request to cease company’s dissolution before January 15th 2018.
  • Said request must be done by the owners of at least 51% of the capital stock by means of a public deed; once a notice of such re-inscription request has been published in “La Gaceta”.                
  • Once these companies are re-registered, they are going to be back to the status they had before their dissolution, with all the legal effects this re-inscription may have back to the date they were dissolved.
